GENERAL TERMS AND CONDITIONS OF SALE

These General Terms and Conditions of Sale and the contractual relationship between www.bizencosmetics.com and the buyer are governed by Japanese law.

In the event of a dispute, before initiating any legal action, the parties agree to seek an out-of-court resolution.

Welcome to www.bizencosmetics.com (the "Site").

We invite you to carefully read these General Terms and Conditions of Sale (hereinafter "GTC"), as well as the Privacy Policy, which governs browsing on this Site and our relationship should you order Products and Services on this Site.

Any purchase of a product offered on the Site requires prior consultation and formal acceptance of these GTC. A handwritten signature from you is not required for acceptance.

In accordance with applicable laws and regulations regarding electronic signatures, please note that validation of the order form, as specified in these Terms and Conditions, constitutes an electronic signature, which, between the parties, has the same legal value as a handwritten signature, serving as proof of the order and the obligation to pay the amounts due for said order.

For the purposes of these Terms and Conditions, the following is agreed: "You" or "the Buyer" refers to the person browsing the Site and/or purchasing products on the Site; "We" or "the Seller" refers to the company identified in the legal notices above; the Buyer and the Seller will be referred to jointly as the "Parties" and individually as a "Party".

PURCHASE CONDITIONS

The Products and services we offer on the Site are reserved for adults (or minors who have authorization from the person exercising:

(i) parental responsibility, allowing them to place an order on the Site);

(ii) who possess full legal capacity to place orders on the Site.

We reserve the right to request proof of age and/or the aforementioned authorization at any time. We reserve the right not to process an order and/or to exclude from our customer/potential customer database any Buyer who has not responded to the above request or who has not complied with the principles set forth in this clause.

It is reiterated that the Products are intended for the Buyer's personal use and that their purchase must not be related to the Buyer's professional activity, including the resale of the Products themselves.

PRODUCTS - PRICES

Products

The products offered for sale on the Site, as well as all related services and/or complementary products (hereinafter the "Products"), are those available on the Site on the day the Buyer consults and/or browses it.

If a Product is unavailable, the Buyer will be informed of this unavailability at the time of placing the order (a message will appear indicating that the Product is temporarily unavailable), or after order confirmation and before delivery, by email.

If the Buyer requests cancellation of an order, the Seller undertakes to reimburse the Buyer for the sums paid within a maximum of 14 (fourteen) business days from the date of receipt of the request, using the payment method used by the Buyer.

The Buyer is informed that the photographs and texts illustrating the Products are subject to change.

Prices

Prices include any applicable discounts and VAT on the date of the order.

Please note that any promotions offered in the form of discount coupons are valid for only one order per user and within a specific validity period, and cannot be combined with other discounts.

The Seller reserves the right to change its prices at any time; however, Products are invoiced based on the prices in effect at the time the order is placed, subject to availability.

The Buyer must contact Customer Service, which will provide all necessary information, including the order number and contact details.

SHIPPING AND RETURNS

Shipping

You can choose your destination country by selecting "destination country" in the shopping cart section, where you can also see the estimated shipping costs. During the ordering process, you can choose from additional services, view the exact order value, and the estimated delivery time.

You must provide a delivery address where someone will be available to receive the delivery, a telephone number (optionally a mobile number to receive delivery updates via SMS), and an email address. In case of a failed delivery, we suggest you check your mailbox for any written notification from the carrier.

When your order is shipped, the Site will send you an email with a tracking code to track your package.

Delivery to the Carrier

Delivery times may be modified, or delivery may not be available for shipments to remote areas, islands, or for extremely large packages.

Order Receipt

Upon receiving your order, please verify that the number of packages delivered matches the number printed on the shipping document provided by the carrier and that the package is undamaged. If the package is damaged, please sign for it with reservation, informing the carrier and contacting our customer service department.

Please note that if you do not sign for the package with reservation, it will not be possible to file a claim, as the shipping company will not have the necessary documentation to carry out the verification, and it will not be possible to refund the buyer or replace the damaged or missing item.

Notes

In the event of a delivery delay or any other issue with your order, please contact our customer service department, and we will be happy to assist you.

Failed delivery: Occasionally, family or neighbors may accept delivery without notifying the sender. The tracking system will show these orders as "delivered." Before filing a complaint, please check with your family and neighbors to see if they have received a delivery.

Internal error: The Site strives to provide you with high-quality service and avoid errors. However, it is possible that a product may be missing when you receive your package, or that you may receive a different version of the item you ordered. In this case, please contact our customer service department immediately so we can find a solution. After conducting the necessary checks, we will do our best to resolve the issue by either sending a replacement via priority shipping or refunding the missing items.

If delivery fails due to an incorrect address or phone number provided by the buyer, the recipient's unavailability even after several attempts to contact them, or the expiration of the holding period, and the package is returned to www.bizencosmetics.com, the return shipping costs will be borne by the buyer. The cost of reshipping the same order will also be charged to the buyer.

If you receive damaged goods, please accept our apologies. The Site makes every effort to ensure that the shipping package and its contents are not damaged. If the products in the shipping package are damaged or broken, please contact our customer service department by email at serviceclient@bizencosmetics.com, attaching a photo of the defective products, within 48 hours of delivery. Our customer service team will be happy to assist you and provide a prompt solution to your problem.

If the Buyer chooses to refuse delivery of the package (without having received written confirmation from the Site's customer service), or refuses to pay customs duties or taxes, both the shipping and return costs will be borne by the Buyer. Customs duties and taxes for both shipments are the Buyer's responsibility.

Customs Duties

For many EU countries, there are no customs duties, and the order value includes VAT, except for invoices issued to VAT-registered businesses registered in the VIES system.

For non-EU countries (and certain specific locations within the EU, such as the Canary Islands), the order will be shipped—unless otherwise stated in the order notes—including VAT (country) and may be subject to customs duties or taxes (e.g., VAT) specific to the destination country, which will be entirely the responsibility of the recipient.

For more information on import requirements, the Buyer should contact the Customs Agency of the destination country or the branch of the carrier chosen by the Website to learn about shipping procedures. Occasionally, a shipment may be stopped for customs inspection (for example, if the recipient does not meet the required conditions). In some countries, this may require the appointment of an intermediary/broker, in which case the additional costs will be borne by the recipient. The Site provides all the necessary customs clearance documents, and if additional documents are required, they will be provided by our customer service department.

The Site has no control over these procedures, and we cannot estimate the amount of customs duties, taxes, or fees. Under no circumstances can we reimburse these costs. If customs clearance fails, customs may detain the goods or return them; in this case, the return shipping costs, customs duties, and taxes will be borne by the customer.

Returns

The Site allows you to return any order within 14 business days of delivery.

The 14-day period is calculated from the purchase date to the date printed on the postmark of the return shipment.

Conditions

Returns are only accepted if the products are in perfect condition. Returned products must show no signs of use, opening, washing, or damage of any kind. All original tags must be intact, and all products must be returned in their original packaging with all original components (such as boxes, bags, labels, leaflets, instructions, accessories, etc.).

Return shipping costs are the responsibility of the Buyer, except for returns due to problems caused by the Website.

The Buyer may choose to have the return shipment sent via the Website or a shipping service of their choice.

Returns of purchased items are subject to confirmation by Site staff. The result of the confirmation process will be communicated within 14 business days of the items being returned to our warehouse.

When completing the customs declaration form (such as CN22 and/or CN23), it is necessary to specify "Returned Goods - Unfulfilled Sale" and include it in the package. Please carefully follow all return procedure instructions provided by our customer service department, as all customs duties and taxes will be the responsibility of the customer. The Site will refuse to invoice any customs duties and taxes, and the relevant authority may return the refused package to the customer at their own expense.

Instructions

Email customerservice@bizencosmetics.com to let us know which items you wish to return. You will receive a confirmation email with instructions.

Once you receive the confirmation email, please follow the instructions provided.

To ensure that returned items are not damaged during shipping, we suggest using the packaging you received from the website for the return.

Please note that the customer will be responsible for return shipping costs.

Please write the following information on the outside of the package:

Last Name
Sender's Address
Your Order Number
Return Address as stated in the confirmation email.

Ship the package with the carrier of your choice. We suggest using a standard delivery service with tracking or shipping insurance, as the customer will be held responsible for any damage, missed delivery, or delay. Return shipping costs (shipping and packaging fees) are the responsibility of the customer.

Upon delivery, the Site will verify that the returned goods meet our "Return Conditions." If there is any sign of use or if one or more of our "Return Conditions" are not met, the return will be rejected.

Within 14 business days of receiving the returned goods, we will send an email to confirm whether or not we have accepted the return.

You will receive an email confirming the reshipment or return, depending on the option chosen in the "Return Form."

Refunds will be issued via the payment method selected during the purchase process. It may be visible after a few days, depending on the payment method selected.

Notes:

If you wish to exchange a purchased product for another, we suggest requesting a refund and placing a new order.

Returned products that do not meet the "return conditions" or that have been damaged by the customer will not be refunded and will be returned to the Buyer at their own expense.

Defective Products Upon Delivery

The Site performs a quality control check on each product before shipment. If you receive a defective product, please contact us at serviceclient@bizencosmetics.com within 14 business days of delivery, describing the defect. Our customer service team will investigate and strive to find a solution as quickly as possible. All customs duties and taxes are the responsibility of the customer. The Site will refuse to invoice any customs duties and taxes, and the relevant authority may return the refused package to the customer at their own expense.

Instructions

1. Email customerservice@bizencosmetics.com to let us know which items you wish to return. You will receive a confirmation email. Please attach photos or videos of the defective product to help us assess the issue.

2. We will inspect the returned products to determine the nature of the problem.

3. Within 14 business days of receiving the returned products, we will email you to confirm whether or not we have accepted the return of defective products.

4. You will receive a return confirmation email.

5. Refunds will be issued to the payment method selected during the purchase process. The refund may take a few days to appear, depending on the payment method chosen.

PAYMENT

The amount due by the Buyer is the amount indicated in the order confirmation and displayed on the dedicated webpage, then sent by email from the Seller to the Buyer.

When validating the order, the Buyer can choose between different payment methods.

Payment can be made:

- immediately online, by credit card (Visa, Amex, Mastercard);

- via PayPal.

The order is only validated by the Seller after acceptance of the Terms and Conditions and verification and confirmation of the payment's validity.

In any event, the Seller reserves the right to refuse any order or delivery if the maximum thresholds indicated in the "Purchase Conditions" are exceeded:

(I) of these General Terms and Conditions of Sale,

(II) ongoing dispute with the Buyer,

(III) total or partial failure to pay for a previous order by the Buyer,

(IV) refusal of payment authorization by the bank,

(v) default or partial payment.

MISCELLANEOUS

Force Majeure

Neither party shall be liable for the total or partial non-performance or delay in the performance of its obligations under this contract caused by an event beyond its control (hereinafter referred to as "Force Majeure Events").

Force Majeure Events may include, but are not limited to, wars, riots, serious disruptions to internet security, technical failures, unauthorized access to and/or intrusions into website servers, strikes of any kind, telecommunications or telephone failures, etc.

The party that anticipates that a Force Majeure Event has occurred or is likely to occur must notify the other party within 14 business days of the aforementioned event or risk.

The parties agree to communicate in order to jointly determine how orders will be fulfilled in the event of a Force Majeure Event.

After a one (1) month interruption due to a Force Majeure event, the Site may choose to cancel orders and reimburse the Buyer, if applicable.

Partial Invalidity

If one or more clauses of these Terms and Conditions are deemed invalid or declared as such pursuant to any law, regulation, or final ruling of a competent court, the other clauses shall remain valid and effective.

Entire Agreement

These Terms and Conditions and the order summary sent to the Buyer constitute the entire agreement between the Parties and constitute the entirety of the contractual relationship.

In the event of any discrepancy between the aforementioned documents, these Terms and Conditions shall prevail.

Modification of the Terms and Conditions

The Buyer is reminded that they may save or print these Terms and Conditions, provided that they are not modified.

The Seller may update these Terms and Conditions at any time. Each updated version of these Terms and Conditions will be made available on the Website in the dedicated section. Users are therefore encouraged to consult the Website periodically to stay informed of the latest version.

Applicable Law and Jurisdiction

These Terms and Conditions and the contractual relationship between the Website and the Buyer are governed by Japanese law.
